Terms of service
These Terms of Use (hereinafter referred to as "these Terms") apply to the online shop (hereinafter referred to as "the Service") provided by SOILNOKIDS Inc. (hereinafter referred to as "the Company") on this website, and to all registered users (hereinafter referred to as "Users") who must use the Service in accordance with these Terms.
Article 1 (Application)
- These Terms shall apply to all relations related to the use of the Service between the Users and the Company.
- In relation to the Service, the Company may establish various rules and provisions other than these Terms (hereinafter referred to as "Individual Provisions"), which shall form part of these Terms.
- In the event of any discrepancy between the provisions of these Terms and the Individual Provisions, unless explicitly stated otherwise in the Individual Provisions, the Individual Provisions shall prevail.
Article 2 (Registration)
- Registration for the Service is completed when an applicant agrees to these Terms and applies for use in a manner determined by the Company, and the Company notifies the applicant of the registration approval.
- The Company may refuse registration if the applicant:
- Provided false information at the time of application.
- Has previously been suspended under these Terms.
- Is otherwise deemed unsuitable for registration by the Company.
Article 3 (Management of User ID and Password)
- Users are responsible for managing their User ID and password for the Service.
- Users may not transfer or lend their User ID and password to third parties or share them with third parties. The Company will consider any access made with the correct combination of User ID and password as access by the User themselves.
- The Company is not liable for any damage caused by third-party use of a User ID and password, except in cases of willful misconduct or gross negligence by the Company.
Article 4 (Sales Contract)
- A sales contract is established when a User submits a purchase request to the Company, and the Company notifies the User of its acceptance of the contract.
- The Company may cancel the contract under the following circumstances:
- The User has breached these Terms.
- Delivery of the product cannot be completed due to unclear or prolonged absence.
- Other circumstances deemed reasonable by the Company.
Article 5 (Intellectual Property Rights) All copyrights and other intellectual property rights in the goods and other content provided through the Service (hereinafter referred to as "Content") belong to the Company and rightful content providers. Users may not copy, reproduce, modify, or otherwise reuse the Content without permission.
Article 6 (Prohibited Activities) Users must not engage in the following activities while using the Service:
- Acts that violate laws or public morals.
- Acts related to criminal activities.
- Acts that infringe intellectual property rights.
- Acts that disrupt or interfere with the server or network functions.
- Commercial use of information obtained through the Service.
- Any other activities deemed inappropriate by the Company.
Article 7 (Suspension of Service)
- The Company may suspend or interrupt the provision of the Service in whole or in part without prior notice to the User if:
- Maintenance, inspection, or updates of the computer system are necessary.

- The Company is not liable for any damage incurred by the User or third parties due to the suspension or interruption of the Service.
Article 8 (Usage Restrictions and Deletion of Registration)
- The Company may restrict the User's use of the Service in whole or in part or delete a User's registration without prior notice under the following circumstances:
- Breach of any article of these Terms.
- Discovery of falsehoods in the registered details.
- Suspension of the payment method such as credit card.
- Non-performance of financial obligations.
- Lack of response to communications from the Company over a certain period.
- Other circumstances deemed appropriate by the Company.
- The Company is not liable for any damage incurred by the User as a result of actions taken under this article.
Article 9 (Withdrawal) Users may withdraw from the Service following specific withdrawal procedures.
Article 10 (Disclaimer and Limitation of Liability)
- The Company does not guarantee that the Service is free of factual or legal defects (such as safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security issues, errors, bugs, rights infringements, etc.).
- The Company is not liable for any damage incurred by the User through the use of the Service. This disclaimer does not apply if the contract between the Company and the User under the Consumer Contract Act specifies otherwise. However, the Company is not liable for any consequential damages arising from special circumstances, even in such cases.
Article 11 (Changes to Service) The Company may change or discontinue the provision of the Service without incurring any liability for damage caused to the User as a result.
Article 12 (Amendment of These Terms) The Company may amend these Terms at any time as deemed necessary and will notify the User of such changes. By using the Service after the amendments, the User is deemed to have consented to the revised Terms.
Article 13 (Disclosure of Personal Information) The Company will handle personal information obtained through the use of the Service in accordance with the appropriate privacy policy.
Article 14 (Notices and Communication) Notices and communications between the User and the Company shall be conducted in a manner determined by the Company and are deemed effective upon dispatch to the contact information provided by the User.
Article 15 (Assignment of Rights and Obligations) The User may not assign or transfer any rights or obligations under the usage contract or these Terms to a third party without prior written consent from the Company.
Article 16 (Governing Law and Jurisdiction)
- The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
- In the event of a dispute arising out of the Service, the courts at the location of the Company's head office shall have exclusive jurisdiction.
